Rules of procedure of the Board of Directors
approved at the meeting of the Board of Directors of Akava Special Branches 1/2013, 17 January 2013
Position:
Permanent executive body elected by the Union Meeting (sections 10, 19, 20 and 21 of the Rules of the Union).
Appointed by:
The Union Meeting elects the Board of Directors for a two-year term, with elections held every two years.
Composition:
Chairperson and ten (10) other ordinary members, from among whose number the Board of Directors elects three vice-chairs. Each member, with the exception of the chairperson, has a personal deputy member (section 19).

The Executive Director or another officer of the Union in matters concerning their area of responsibility.
Responsibilities and decision-making authority (section 21 of the Rules of the Union, unless otherwise stated):
- manages the Union in accordance with the strategy approved by the Union Meeting
- prepares guidelines for operations
- decides on joint policy issues related to lobbying
- manages cooperation relationships
- decides on industrial action and collective measures as required by section 8 of the Rules of the Union
- convenes the Union Meeting
- decides on the preparations, proposals and implementation of the Union Meeting:
- prepares the action plan and sees to its monitoring
- issues proposals concerning membership fees
- prepares the budget and sees to its monitoring
- confirms the number of votes of the member organisations
- issues a proposal on the election of the Honorary Chair to the Union Meeting (section 18 of the Rules of the Union)
- monitors the realisation of the budget
- takes care of accounting, financial statements and asset management
- is responsible for the management, acquisition and sale of assets
- grants exemptions from membership fees (section 9 of the Rules of the Union)
- approves new member organisations (section 4 of the Rules of the Union)
- dismisses member organisations (section 6 of the Rules of the Union)
- decides on joining associations
- is responsible for the member register (section 11 of the Associations Act)
- appoints sector-specific advisory boards to assist the Board of Directors in negotiation and collective bargaining activities and appoints other bodies that operate under the Board of Directors
- with the exception of the Union’s regional groups and changes of representatives in bodies under the Board of Directors during the term of office, for which the decision-making authority is exercised by the Working Committee
- approves the rules of procedure of the Working Committee and other bodies operating under the Board of Directors
- approves the Union’s financial rules, rules of procedure concerning industrial action, and corresponding guidelines
- decides on the granting of honour awards
- grants signing rights to the Union’s officers
- hires and dismisses personnel in employment relationships that are valid for an indefinite period
- decides on the terms and conditions of the Executive Director’s service relationship
- reports on the activities and decisions of the Board of Directors
- carries out other tasks assigned to the Board of Directors by the Union Meeting
